Media Consent and Release Form

For the purpose of promoting uCodeGirl's mission and activities, participants of uCodeGirl may be featured in materials to increase public awareness of our programs through newspapers, radio, TV, the internet, displays, brochures, and other types of media.

I, as a mentor of the undersigned, hereby give uCodeGirl and its authorized employees, and authorized media representatives permission to print, photograph, and record me for use in audio, video, film, or any electronic, digital and printed media.

a.     This is with the understanding that neither uCodeGirl nor its authorized representatives will reproduce said photograph, interview, or likeness for any commercial value or receive monetary gain for use of any reproduction/broadcast of said photograph or likeness. I am also fully aware that I will not receive monetary compensation for my participation.

b.     I further release and relieve uCodeGirl, its board, employees, and other representatives from any liabilities, known or unknown, arising out of the use of this material.

I certify that I have read the Media Consent and Release Liability statement and fully understand its terms and conditions.

Agreement of Confidentiality

I am a mentor with uCodeGirl providing my professional services (“Mentor”) to a Nonprofit Organization (“uCodeGirl”).  I shall hold in trust for the sole benefit of the uCodeGirl any materials, information or ideas that are provided to or otherwise made available to me, the Mentor, by the uCodeGirl, or otherwise obtained or learned in connection with the execution of the project whether before or after the date hereof (“Confidential Information”).  As Mentor I shall not use, reproduce or disclose any Confidential Information except to the extent necessary to execute the project or as authorized by the organization’s Executive Director.  In any event, except as authorized by the organization’s Executive Director I shall not disclose any Confidential Information to any person other than individuals within the organization who have a need to know such Confidential Information. 

“Confidential Information” means any information disclosed to me by uCodeGirl. Confidential Information also includes data relating to uCodeGirl’s training materials, personnel information, donor or financial information, marketing, services and markets therefore, or other proprietary information disclosed to me by uCodeGirl. I further understand that Confidential Information does not include any of the foregoing items which: 1) are publicly known and made generally available in the public domain prior to the time of disclosure to me by uCodeGirl; 2) become publicly known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involved; 3) are in my possession, without confidentiality restrictions, at the time of disclosure by uCodeGirl; or 4) I develop independently without use or reference to Confidential Information.

I shall prevent the disclosure and the unauthorized reproduction or use of the Confidential Information, which efforts shall be no less than those used to protect my own confidential information.

The restrictions set forth above shall apply, notwithstanding the expiration of the Term or the termination of the project, until such time as the Mentor or team member can establish that such information is known to the general public provided such knowledge is not due to acts or omissions of the Mentor or team member.
